These Terms of Service ("Terms") form a legally binding agreement between you ("you", "user") and T S Black Corporate Consultants Private Limited ("TS Black", "we", "us", "our"), incorporated under the Companies Act, 2013, having its registered office at the address below:
By accessing or using https://tsblack.in or any tool, application, page or service offered under the TS Black brand (collectively, the "Service"), you confirm that you have read, understood and agreed to be bound by these Terms, our Privacy Policy and our Refund Policy.
You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872. If you use the Service on behalf of a firm, company, LLP or other organisation, you represent that you have authority to bind that organisation, in which case "you" refers to that organisation.
If you do not agree to these Terms, do not access or use the Service.
TS Black operates a curated catalog of AI-powered and automation tools designed primarily for Chartered Accountants, Company Secretaries, Cost Accountants, advocates, tax practitioners and finance teams operating under Indian law. Tools cover Income Tax, GST, TDS, MIS & analytics, PDF automation, audit and compliance workflows.
The Service is offered in three pricing tiers:
We reserve the right to add, modify, discontinue or restrict any tool at any time without prior notice, except in respect of paid features for which you have an active subscription (see Clause 8).
Certain features require you to sign in using Google OAuth, provided through Google LLC and Firebase Authentication (a Google service). By signing in, you authorise us to receive your name, email address and profile photo from Google solely for authentication and personalisation purposes (see Privacy Policy).
You are responsible for maintaining the confidentiality of your Google credentials and for all activity that occurs under your authenticated session. Notify us immediately at [email protected] if you suspect unauthorised access.
When using the Service you agree not to:
Violations may result in immediate suspension or termination of access under Clause 13 and reporting to law-enforcement authorities where required.
Many tools process data you provide — for example, PDF statements, CSV files, invoice text or query inputs. You retain all rights, title and interest in that data ("User Content"). You grant us a limited, non-exclusive, royalty-free, worldwide licence to process User Content solely as necessary to provide the requested tool functionality.
Where a tool runs entirely in your browser (as expressly indicated on the tool's page), User Content does not leave your device. Where a tool requires server-side processing, we process and discard User Content per the retention policy in our Privacy Policy §8.
You represent and warrant that you have all necessary rights, consents and authorisations to upload User Content and that doing so does not breach any third-party rights or applicable law (including client-confidentiality obligations under the Chartered Accountants Act 1949 or Advocates Act 1961).
All intellectual property in the Service — including software, source code, tool logic, layout, copy, trademarks, logos, the "TS Black" name and the catalog structure — is owned by or licensed to T S Black Corporate Consultants Private Limited. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal purposes.
No rights are granted by implication, estoppel or otherwise. Any feedback you provide is non-confidential and may be used by us without restriction or compensation.

Your use of these third-party services is governed by their respective terms. We are not responsible for the availability, accuracy, content or practices of any third party.
Where a tool is marked "Paid" or "Freemium", you may be required to pay charges as disclosed on the tool's page or at checkout. By placing an order, you agree to pay the disclosed amount in Indian Rupees (INR), inclusive of applicable taxes.
Payments are processed through licensed Indian payment gateways. We do not store full payment-card details on our servers. Refunds, cancellations and chargebacks are governed exclusively by our Refund Policy.
Tax invoices will be issued in accordance with the CGST Act 2017 and Rules where applicable. At the date of these Terms, T S Black Corporate Consultants Private Limited is not registered for GST as turnover is below the threshold prescribed in Section 22 of the CGST Act; this will be updated upon registration.
No advisor-client, attorney-client, auditor-client or fiduciary relationship is created between you and TS Black or any of its directors, officers or employees by your use of the Service.
To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. We expressly disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability or uninterrupted availability.
We do not warrant that the Service will be free of bugs, errors, viruses or other harmful components, or that outputs from any tool will be accurate, current or suitable for any particular use.
To the maximum extent permitted by law, in no event shall T S Black Corporate Consultants Private Limited, its directors, officers, employees, contractors or affiliates be liable for any indirect, incidental, consequential, special, exemplary or punitive damages — including loss of profits, loss of data, loss of goodwill, business interruption, tax penalties, or interest — arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.
Our aggregate liability to you for all claims arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), strict liability or otherwise, shall not exceed the greater of (a) the amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or (b) INR 1,000.
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, gross negligence, or any liability that cannot be excluded under applicable Indian law.
You agree to indemnify, defend and hold harmless TS Black, its directors, officers, employees and affiliates from and against any claims, demands, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your User Content, (c) your violation of applicable law, or (d) your violation of any third-party right.
We may suspend or terminate your access to all or part of the Service, with or without notice, if we reasonably believe you have breached these Terms, posed a security risk, or engaged in fraudulent or unlawful conduct. You may stop using the Service at any time; for paid subscriptions, termination and refunds follow our Refund Policy.
Clauses that by their nature should survive termination (including Clauses 6, 9, 10, 11, 12, 15 and 16) shall survive.
We may update these Terms from time to time. Material changes will be notified by updating the "Last updated" date above and, where appropriate, by an in-product notice or email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, your sole remedy is to stop using the Service.
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-law rules. Subject to Clause 16, the courts at Rajkot, Gujarat shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.
Before initiating any legal proceeding, the parties shall first attempt in good faith to resolve any dispute through written notice and discussion within thirty (30) days. If unresolved, the dispute shall be referred to mediation in Rajkot under the Mediation Act, 2023. Only thereafter may court proceedings be commenced.
For consumer-class users, this clause does not derogate from rights under the Consumer Protection Act, 2019, including the right to approach the appropriate Consumer Dispute Redressal Commission.
